GMR Power & Urban Infra holds 6th AGM, approves financials and fund-raising

GMR Power and Urban Infra Limited convened its 6th Annual General Meeting (AGM) on Monday, September 29, 2025, via video conferencing. The meeting adhered to regulations from the Ministry of Corporate Affairs and the Securities and Exchange Board of India. Proceedings included the adoption of the audited financial statements for the fiscal year ended March 31, 2025, and the re-appointment of M/s Walker Chandiok & Co LLP as statutory auditors.

Several director appointments and re-appointments were approved. Mr. Subbarao Gunuputi and Mr. Madhva Bhimacharya Terdal were re-appointed as directors by ordinary resolution. Independent directors Mr. Shantanu Ghosh, Dr. Fareed Ahmed, and Ms. Suman Naresh Sabnani were also re-appointed by special resolution. Additionally, M/s. V. Sreedharan & Associates were appointed as the secretarial auditor.

The AGM ratified remuneration for cost auditors for the financial year ending March 31, 2026, and approved the raising of funds through the issuance of equity shares and/or other eligible securities via Qualified Institutions Placement and/or Foreign Currency Convertible Bond. The meeting concluded at 12:21 PM, with voting open for an additional 15 minutes. The voting results will be submitted to stock exchanges and posted on the company's website.
