Indo Thai Securities shareholders approve auditor appointment, MOA update

Indo Thai Securities Limited announced that its shareholders, at a meeting on Saturday, September 27, 2025, approved key corporate changes. M/s Kaushal Ameta & Co., practicing company secretaries, has been appointed as the secretarial auditor for five consecutive years, from the financial year 2025-2026 to 2029-2030. Mr. Kaushal Ameta, a fellow member of ICSI with over 20 years of experience, holds Certificate of Practice number 9103 and Membership No. 8144.

The company also secured approval for alterations to the "Object Clause" of its Memorandum of Association. Specifically, Clause [20] and [21] under "Objects Incidental or Ancillary to the attainment of the main objects" have been replaced. The new clauses allow the company to sell, dispose of, or transfer its business, property, and undertaking for any consideration, including shares or debentures of other companies with similar or different objects.

Furthermore, the updated clauses enable Indo Thai Securities to amalgamate, merge, absorb, or demerge with any other company or companies, whether with or without the liquidation of the company. These changes align with the Companies Act, 2013, and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
