G R Infraprojects makes strategic moves with power transmission acquisition, highway divestment

G R Infraprojects Limited (GRIL) announced on September 26, 2025, the acquisition of Rajgarh Neemuch Power Transmission Limited, a wholly-owned subsidiary of REC Power Development and Consultancy Limited. GRIL was the lowest bidder for a transmission system project in Madhya Pradesh, aimed at evacuating power from RE projects in Rajgarh and Neemuch. The acquisition is expected to be completed by October 31, 2025, and will involve a cash consideration.

Concurrently, GRIL is divesting its 100% equity stake in its wholly-owned subsidiary, GR Bahadurganj Araria Highway Private Limited (GBAHPL), to Indus Infra Trust. As of March 31, 2025, GBAHPL contributed INR 23,848.15 Lakhs (3.14%) to GRIL's consolidated income and INR 3,840.69 Lakhs (0.45%) to its consolidated net worth. The divestment is anticipated to be finalized by November 30, 2025, subject to due diligence and regulatory approvals. The transaction with Indus Infra Trust, a related party, is proposed to be done at "arms' length."
