Novator Capital increases stake in Prime Focus

Novator Capital Limited has disclosed an increase in its shareholding in Prime Focus Limited, following an acquisition of 14,318,750 shares on September 23, 2025. This transaction was executed as a preferential allotment of equity shares for cash consideration.

Prior to this acquisition, Novator Capital held 96,965,562 shares, representing 16.50% of Prime Focus's total share and voting capital. The recent acquisition boosts its total holding to 111,284,312 shares, now constituting 14.35% of the post-issue total share and voting capital.

The equity share capital of Prime Focus Limited before the acquisition was INR 587,559,017, divided into 587,559,017 equity shares. After the acquisition, the total equity share capital stands at INR 775,499,548, divided into 775,499,548 equity shares. This disclosure was made in compliance with Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations 2011.
