Yatra Online appoints new director, addresses regulatory fines

Yatra Online Limited announced the appointment of Roshan Chanaka Nirmal Mendis as an additional, non-executive, non-independent director, effective September 26, 2025. The appointment is subject to shareholder approval. Mendis, currently the chief commercial officer and executive vice president at Sabre Corporation, also serves on the board of Yatra Online, Inc. as an independent board member.

The company's board also addressed notices from the National Stock Exchange of India (NSE) and BSE Limited (BSE) regarding non-compliance with Regulation 17(1) of the Listing Regulations concerning the composition of the board of directors. A fine of INR 418,900, inclusive of 18% GST, was levied for 71 days of non-compliance until June 30, 2025.

The board noted that the company has paid the fine and is now compliant with the applicable regulations regarding board composition. Management has been advised to ensure timely compliance in the future.
