Neerja Jhunjhunuwala to increase stake in S Chand and Company via gift transfer

Neerja Jhunjhunuwala, a promoter of S Chand And Company Limited, has announced a proposed acquisition of equity shares through an inter-se transfer in the nature of a gift. This outlines the acquisition of shares from Dinesh Kumar Jhunjhunuwala and Gaurav Kumar Jhunjhunuwala.

The transfer involves 3,460,000 shares from Dinesh Kumar Jhunjhunuwala, representing 9.81% of the target company's share capital, and 532,500 shares from Gaurav Kumar Jhunjhunuwala, accounting for 1.51%. The proposed acquisition date is September 29, 2025, and the shares are valued at NIL, as the transfer is by way of gift.

Following the transaction, Neerja Jhunjhunuwala's stake will increase from 11.37% (4,008,345 shares) to 22.70% (8,000,845 shares). The pre-transaction average market price for the shares was reported as Rs. 209.61. This inter-se transfer among promoters is exempt from an open offer under SEBI regulations.
