GPT Infraprojects announces new chairman, joint managing director

GPT Infraprojects Limited announced key decisions from its board of directors meeting on September 24, 2025. The board noted the passing of late Shri Dwarika Prasad Tantia, former non-executive chairman. Dr. Om Tantia was appointed as an additional non-executive director and designated chairman, effective September 24, 2025. Concurrently, Mr. Atul Tantia was elevated from executive director & CFO to joint managing director & CFO, subject to shareholder approval.

The company also approved the adoption of new memorandum of association (MOA) and articles of association (AOA) to align with The Companies Act, 2013, subject to shareholder approval. The MOA changes include amending main objects titles, inserting new sub-clauses, deleting previous clauses, and updating the authorized share capital to ₹1,30,00,00,000 divided into 13,00,00,000 equity shares of ₹10 each. The AOA revisions aim to restructure and align with recent legislative changes and secretarial standards.
