Mastek promoter gifts shares to youth foundation

Sundar Radhakrishnan, a promoter of Mastek Limited, announced the gift/transfer of 500,000 equity shares (representing 1.62%) to Hi5 Youth Foundation on September 19, 2025. This transaction was disclosed under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The Hi5 Youth Foundation will now be part of Mastek Limited's promoter group.

Following the transfer, Sundar Radhakrishnan's individual holding decreased from 1,305,800 shares (4.22%) to 805,800 shares (2.60%), while Hi5 Youth Foundation acquired 500,000 shares (1.62%), previously holding nil. The total promoter shareholding, including other promoters and group members, remains unchanged at 110,861,197 shares, representing 35.79% of the total voting capital.

The transaction was executed as an off-market gift/donation, without any monetary consideration, and falls under the exemption provided by Regulation 10(1)(a)(iii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. Prior disclosure of this transfer was made under Regulation 10(5).
