G R Infraprojects: Promoter group realigns holdings through gifts and sales

On September 22, 2025, G R Infraprojects announced inter-se transfers of equity shares among its promoter group via gifts, effective September 27, 2025. This realignment affects holdings in five promoter group companies: Lokesh Builders Private Limited, Jasamrit Designers Private Limited, Jasamrit Fashions Private Limited, Jasamrit Premises Private Limited, and Jasamrit Creations Private Limited. These transfers are without consideration and do not alter the aggregate promoter shareholding or voting rights in G R Infraprojects.

Laxmi Devi Agarwal, Suman Agarwal, Ritu Agarwal, Lalita Agarwal, and Kiran Agarwal each sold 966,890 equity shares (1.00%) of G R Infraprojects in March 2024 to achieve Minimum Public Shareholding.

SBI Mutual Fund acquired 4,150,000 shares on September 15, 2022, increasing its holding to 8,348,000 shares (8.6339%) of G R Infraprojects. Declarations for the financial years ending March 31, 2023, March 31, 2024 and March 31, 2025 confirm no new encumbrances by the promoter group, with total holdings remaining at 7,70,99,588 (79.74%) and 7,22,65,128 (74.74%) respectively.
