Foods & Inns holds 53rd annual general meeting, addresses key resolutions

Foods & Inns Limited held its 53rd annual general meeting (AGM) on Tuesday, September 23, 2025, via video conferencing. The meeting was chaired by Bhupendra Dalal, with 42 shareholders confirming their presence. Eight directors, including an independent director, statutory auditors, secretarial auditors, and key managerial personnel (KMPs), also attended.

The AGM addressed several key resolutions, including the adoption of the audited standalone and consolidated financial statements for the fiscal year ended March 31, 2025, along with the auditor's report. A dividend declaration was also on the agenda. Key re-appointments included Bhupendra Dalal as a director liable to retire by rotation and M/s Ragini Chokshi & Co. as the secretarial auditor for a first term of five years.

Other resolutions involved an amendment in the commission against the guarantee provided by Bhupendra Dalal, and obtaining approval to grant loans, advances, or guarantees under Section 185 of the Companies Act, 2013. Remote e-voting was available from September 19, 2025, to September 22, 2025, and was reopened for members present at the meeting.
