Abans Financial Services gets SEBI warning over name change compliance

Abans Financial Services Limited, formerly Abans Holdings Limited, announced it has received an administrative warning letter from the Securities and Exchange Board of India (SEBI). The warning alleges non-compliance with Regulation 45(3) of the SEBI Listing Regulations concerning the explanatory statement for a company name change.

Specifically, the company failed to include a certificate from a practicing chartered accountant, verifying compliance with Regulation 45(1) conditions, in the notice seeking shareholders' approval for the name change. This omission was identified by BSE while processing the company's application for the name change.

SEBI has deemed this non-compliance serious, advising Abans Financial Services to prevent future recurrences. The company has since placed the required certificate for ratification at its 16th annual general meeting (AGM) on August 21, 2025. The company is also advised to present this communication to its board of directors and provide feedback to SEBI on corrective steps.
