Adani Green Energy forms new step-down subsidiary, Adani Ecogen Three

Adani Green Energy Limited announced the incorporation of Adani Ecogen Three Limited (AE3L) on September 22, 2025. AE3L is a wholly-owned step-down subsidiary of Adani Green Energy, formed under its wholly-owned subsidiary, Adani Renewable Energy Holding Eleven Limited (AREH11L). AE3L is incorporated in India, registered with the Registrar of Companies in Gujarat, and is yet to commence business operations.

AE3L's authorized and paid-up capital is Rs. 1,00,000 each. The primary objective of AE3L is the generation, development, distribution, and supply of power or electrical energy from renewable sources, including wind and solar energy. AE3L is classified under the power generation industry using renewable energy sources.

The acquisition of AE3L by AREH11L does not involve a related-party transaction and no cash consideration or share swap was required. Adani Renewable Energy Holding Eleven Limited holds 100% of AE3L's share capital.
