Insolation Energy expands solar footprint with new SPVs

Insolation Energy Limited announced on September 18, 2025, the incorporation of two new wholly-owned subsidiaries by its subsidiary, Insolation Green Energy Private Limited. These entities, HEPJ Green Infra Private Limited and RDPJ Green Infra Private Limited, were established as Special Purpose Vehicles (SPVs) to develop solar power plants. Each SPV has an authorized share capital of INR 100,000, divided into 10,000 equity shares of INR 10 each, fully subscribed by Insolation Green Energy Private Limited.

The newly formed SPVs will engage in the business of solar power plant development, including erection, installation, construction, operation, maintenance, and consultancy services for renewable energy projects. This encompasses design, supply, erection, testing, commissioning, and comprehensive Operation and Maintenance (O&M) of Rooftop Solar (RTS) photovoltaic power projects.

The incorporation is considered a related-party transaction, with Insolation Green Energy Private Limited as the promoting entity. However, the initial subscription payable by subscribers to the SPVs is not considered a related-party transaction for the company itself.
