Poonawalla Fincorp allots shares to promoter Rising Sun Holdings

Poonawalla Fincorp Limited has completed a preferential allotment of 33,148,102 fully paid-up equity shares to Rising Sun Holdings Private Limited, categorized as a promoter. The shares were allotted on September 17, 2025, at an issue price of INR 452.51 per equity share, including a premium of INR 450.51. The total value of this allotment amounts to INR 1,499,98,47,636.02.

This allotment has increased the company's issued, subscribed, and paid-up equity share capital from INR 15,584,17,192 (comprising 77,920,8596 shares) to INR 16,247,13,396 (comprising 81,235,6698 shares). The new shares will rank pari-passu with existing equity shares.

The transaction received in-principle approval from the National Stock Exchange of India Limited and BSE Limited on September 15, 2025, adhering to the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018.
