Jayant Agro-Organics promoters to consolidate stake

Jayant Agro-Organics Limited has announced a proposed inter-se transfer of 16,659,676 shares, representing 55.53% of the company's total share capital, among its promoter and promoter group entities. The acquisition, scheduled for on or after September 22, 2025, involves Mr. Sudhir V. Udeshi, Mr. Hemant V. Udeshi, and Mr. Hitesh V. Udeshi (on behalf of Udeshi Trust) transferring shares to various acquirers including Abhay V. Udeshi, Vikram V. Udeshi, and other family members.

Prior to the transaction, the selling entities held 18,009,676 shares (60.03%), which will reduce to 1,350,000 shares (4.50%) post-transfer. Conversely, the acquiring entities' collective stake will increase from 857,900 shares (2.86%) to 17,517,576 shares (58.39%).

This transaction is being conducted under Regulation 10(1)(a)(ii) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, which provides an exemption from making an open offer for inter-se transfers among promoters. All specified conditions under this regulation are declared to have been duly complied with.
