Industrial Investment Trust appoints new secretarial auditor, approves key AGM resolutions

Industrial Investment Trust Limited (IITL) announced the appointment of CS Payal Vyas as the secretarial auditor for a five-year term, effective from the financial year 2025-2026 through 2029-2030. This appointment was approved by shareholders at the 92nd Annual General Meeting (AGM) held on September 13, 2025. Ms. Vyas, an associate member of the Institute of Company Secretaries of India and a law graduate, brings over 20 years of experience specializing in company law, SEBI matters, and secretarial audits, having worked with top-listed companies such as Mahindra & Mahindra.

The AGM proceedings, conducted via video conferencing/other audio visual means, also included the adoption of audited financial statements for the year ended March 31, 2025, and the re-appointment of Dr. Bidhubhusan Samal as a director. Additionally, shareholders approved a related party transaction for a rent agreement with Nimbus Projects Limited to establish a new corporate office in New Delhi.

The company informed that Ms. Chandanbala O. Mehta was appointed as the scrutinizer for the e-voting process. Voting results will be declared within two working days of the AGM's conclusion and communicated to the exchanges, followed by publication on the company's and CDSL's websites.
