Taj GVK Hotels shareholders approve all resolutions at 30th AGM

Taj GVK Hotels & Resorts Limited announced that all nine resolutions, including ordinary and special business items, were passed by shareholders at its 30th Annual General Meeting (AGM) held on September 12, 2025. The meeting, conducted virtually via video conferencing, saw 54 members in attendance. The resolutions were approved through a combination of remote e-voting and e-voting during the AGM.

Key ordinary business resolutions included the adoption of the standalone and consolidated audited financial statements for the year ended March 31, 2025, and the declaration of a dividend on equity shares for the same period. Both resolutions received overwhelming support, with 99.999% of valid votes in favor for the financial statements adoption and 99.9998% for the dividend declaration. The re-appointment of Anoop Vrajlal Mehta and Dr. GVK Reddy as directors, who retired by rotation, was also approved with 97.87% of valid votes each.

Special business resolutions also passed, including the appointment of M/s. Vidya Rani & Associates as secretarial auditor for five years (99.3869% in favor) and the appointment of Dinaz Noria as non-executive and independent director for a second term (99.3866% in favor). The payment of commission to non-executive independent directors for the financial year 2024-25 received 99.9991% of valid votes in favor. The appointments of Shalini Bhupal as managing director & CEO and Krishna Ram Bhupal as joint managing director for five years were also approved with 99.3860% and 97.8692% of valid votes in favor, respectively.
