Texmaco Rail & Engineering completes amalgamation with Texmaco West Rail

Texmaco Rail & Engineering Limited confirmed today, September 11, 2025, that the Scheme of Amalgamation of Texmaco West Rail Limited with Texmaco Rail & Engineering Limited has become effective. This follows the National Company Law Tribunal, Kolkata Bench's order dated August 4, 2025, sanctioning the merger.

The certified copy of the Tribunal's order was filed with the Registrar of Companies on September 9, 2025 (for Texmaco West Rail Limited) and September 11, 2025 (for Texmaco Rail & Engineering Limited). As a result, Texmaco West Rail Limited is now fully amalgamated with Texmaco Rail & Engineering Limited.

This amalgamation is effective as of September 11, 2025, streamlining operations and shareholder structures as per the approved scheme. Sandeep Kumar Sultania, company secretary and compliance officer, officially signed the announcement.
