Spencer's Retail reappoints auditors, approves additional funding at eighth AGM

Spencer's Retail Limited concluded its eighth annual general meeting (AGM) on Thursday, September 11, 2025, via video conferencing. The meeting, which commenced at 3:00 P.M. (IST) and concluded at 3:47 P.M. (IST), saw the transaction of all business items outlined in the notice dated July 30, 2025.

During the AGM, shareholders approved the re-appointment of M/s. S.R. Batliboi & Co. LLP as statutory auditors for a second term of five consecutive years, effective from the conclusion of the eighth AGM until the thirteenth AGM. M/s. Manoj Shaw & Co. were also appointed as secretarial auditors for a five-year term, starting from financial year 2025-26. Additionally, the company sought approval for the creation of a charge on its movable and immovable properties for an additional amount of INR 250 crore.

Other key agenda items included the consideration and adoption of the audited financial statements for the financial year ended March 31, 2025, along with the reports from the board of directors and auditors. Shashwat Goenka was also re-appointed as a director of the company. The e-voting results for all five resolutions will be announced within two working days of the meeting's conclusion.
