Ministry of Corporate Affairs approves Gujarat State Petronet amalgamation scheme

Gujarat State Petronet Ltd. (GSPL) announced on September 10, 2025, that the Ministry of Corporate Affairs (MCA) has issued an order concerning a Composite Scheme of Amalgamation and Arrangement. This scheme involves Gujarat State Petroleum Corporation Limited (GSPC), Gujarat State Petronet Limited (GSPL), GSPC Energy Limited (GEL), Gujarat Gas Limited (GGL), and GSPL Transmission Limited (GTL). The order followed a joint petition filed on February 12, 2025, and a hearing held on August 27, 2025.

The MCA order has, among other things, dispensed with the need for meetings of the equity shareholders of GSPC Energy Limited and GSPL Transmission Limited due to 100% consent from their shareholders. It also waived the requirement for meetings of unsecured creditors for all involved companies, provided that individual notices are sent to unsecured creditors with claims above INR 10,00,000.

Meetings for the equity shareholders of Gujarat State Petronet Limited and Gujarat Gas Limited, both listed entities, are directed to be held via VC/OAVM mode. The meeting for Gujarat State Petroleum Corporation Limited will be held either physically or via VC/OAVM. Notices for these meetings are to be sent by email to registered shareholders by August 1, 2025, at least 30 days prior to the meeting date, and published in the Financial Express (Ahmedabad – English and Gujarati editions).
