Goa Carbon appoints independent director, approves key resolutions at AGM

Goa Carbon Limited announced the appointment of Ms. Kshama Fernandes as an independent director for a five-year term, effective from July 7, 2025, until July 6, 2030. This appointment was approved by shareholders at the 57th annual general meeting (AGM) held on September 9, 2025, with voting results announced on September 10, 2025.

At the same AGM, shareholders adopted the audited financial statements, directors' report, and auditors' report for the financial year ended March 31, 2025. They also approved the re-appointment of Mr. Rajesh Dempo as a director who retired by rotation. Additionally, shareholders ratified the remuneration for Joshi Apte and Associates, cost accountants, for the financial year 2025-26, and approved the appointment and remuneration of CS Shivaram Bhat as secretarial auditor for a five-year term, effective from FY 2025-26.

The 57th AGM was conducted via video conferencing/other audio visual means. Voting results, including those from remote e-voting and e-voting during the AGM, confirmed the passage of all resolutions with the requisite majority.
