Cyient seeks shareholder approval for director appointments, founder's continuation

Cyient Limited is conducting a postal ballot, from September 11, 2025, to October 10, 2025, to gain shareholder approval for three key resolutions. The company proposes the appointment of P.R. Ramesh and Prof. Madan Pillutla as non-executive, independent directors for three-year terms, from August 18, 2025, to August 17, 2028. Both appointments are subject to special resolutions from members.

Additionally, Cyient seeks approval for the continuation of B.V.R. Mohan Reddy as a non-executive, non-independent director beyond the age of 75, until the conclusion of the next annual general meeting in 2026. Reddy, who founded Cyient, will turn 75 on October 12, 2025, and his continuation is supported by the board due to his extensive experience and contributions.

The remote e-voting period for these resolutions will run from 9:00 a.m. IST on September 11, 2025, to 5:00 p.m. IST on October 10, 2025. Results are expected to be announced on or before October 11, 2025. Members on record as of September 5, 2025, are eligible to vote.
