Cyient DLM proposes leadership appointments, director continuation

Cyient DLM Limited has announced a postal ballot to secure shareholder approval for two significant resolutions. The company proposes the appointment of Rajendra Velagapudi as managing director and chief executive officer for a two-year term, from July 1, 2025, to June 30, 2027. His remuneration includes a basic salary of INR 2,00,00,000 per annum, a variable pay of up to INR 1,50,00,000 per annum based on performance, and a grant of 50,000 RSUs.

Additionally, shareholders will vote on the continuation of B.V.R. Mohan Reddy as a non-executive non-independent director beyond the age of 75 years, until the conclusion of the annual general meeting in 2026. This continuation is based on recommendations from the nomination and remuneration committee and the board, citing his extensive experience and valuable contributions.

The remote e-voting period for these resolutions will commence on Thursday, September 11, 2025, at 9:00 a.m. IST and conclude on Friday, October 10, 2025, at 5:00 p.m. IST. The results of the postal ballot are expected to be announced on or before Saturday, October 11, 2025. The cut-off date for determining eligible voters is Friday, September 5, 2025.
