ZF Steering Gear (India) reports overwhelming shareholder approval at 45th AGM

ZF Steering Gear (India) Ltd. announced the voting results for its 45th annual general meeting (AGM), held on Monday, September 8, 2025. All proposed ordinary resolutions were passed with the requisite majority through a combination of remote e-voting and e-voting during the AGM. Shareholders overwhelmingly approved the audited standalone and consolidated financial statements for the financial year ended March 31, 2025, with 99.9999% of polled votes in favor.

Dr. Dinesh Bothra was reappointed as a director, securing 99.9996% of the votes cast. Additionally, M/s. SIUT & Co., LLP, company secretaries, were appointed as secretarial auditor for the period from FY 2025-26 to FY 2029-30, with 99.9999% approval.

A resolution for the approval of revised material related party transactions, superseding an earlier resolution, also passed with 99.9970% of polled votes in favor. The remote e-voting period ran from September 5 to September 7, 2025, and a total of 51 members participated in the AGM through video conferencing or other audio-visual means.
