Texmaco Rail amalgamation sanctioned by Kolkata tribunal

Texmaco Rail & Engineering Limited informed stock exchanges on September 9, 2025, that the National Company Law Tribunal, Kolkata Bench, sanctioned the Scheme of Amalgamation of Texmaco West Rail Limited with Texmaco Rail & Engineering Limited and their respective shareholders. The Tribunal's order, dated August 4, 2025, followed an intimation by Texmaco on August 8, 2025.

The amalgamation scheme, which falls under Sections 230 to 232 and other applicable provisions of the Companies Act, 2013, has received the certified copy of the Tribunal's order. This order has also been made available on the company’s website for public access.

Texmaco Rail & Engineering Limited stated it will notify the stock exchanges once the Scheme of Amalgamation becomes effective. The communication was issued by Sandeep Kumar Sultania, company secretary and compliance officer.
