Bombay Burmah seeks shareholder approval for independent director appointment

The Bombay Burmah Trading Corporation Limited (BBTCL) has issued a postal ballot notice to its members to approve the appointment of Rukhshana Jina Mistry as a non-executive independent woman director. Ms. Mistry's proposed term is for five consecutive years, from August 26, 2025, to August 25, 2030, and she will not be liable to retire by rotation. The board, acting on the Nomination and Remuneration Committee's recommendation, believes her extensive experience in accounting, auditing, taxation, and company law will significantly benefit the corporation.

Ms. Mistry, a 68-year-old chartered accountant and fellow member of the Institute of Chartered Accountants of India, brings over 32 years of experience. She currently serves as an independent director on the boards of several prominent companies, including Sterling And Wilson Renewable Energy Ltd, Allied Blenders & Distillers Ltd, and Afcons Infrastructure Ltd, along with various foreign subsidiaries of the Sterling And Wilson group. She also actively participates in board-level committees, holding chairperson and member roles across audit, nomination and remuneration, stakeholder relationship, and risk management committees.

The remote e-voting period for this resolution will commence on Tuesday, September 9, 2025, at 9:00 A.M. (IST) and conclude on Wednesday, October 8, 2025, at 5:00 P.M. (IST). The results of the postal ballot are expected to be declared on or before Friday, October 10, 2025. Only members registered as of the cut-off date, Friday, September 5, 2025, are eligible to vote.
