Zeal Aqua announces board, auditor changes, director remuneration revised

Zeal Aqua Limited's board of directors, at a meeting on September 5, 2025, approved several key changes. Shahzad Yazdi Gandhi resigned as an independent director, effective August 25, 2025, citing no disputes. Additionally, statutory auditor Patel Kabrawala and Co. resigned on September 4, 2025, due to pre-occupation, confirming they had completed audit reports for the year ended March 31, 2025.

To fill the casual vacancy, D C Jariwala & Co., chartered accountants, was appointed as the new statutory auditor from September 5, 2025. They will serve a five-year term until the 22nd annual general meeting (AGM) in 2030, subject to shareholder approval. The board also recommended Rohan Pradipkumar Navik for reappointment.

Furthermore, the board approved a revised remuneration of INR 300,000 per month for Dhavalkumar Shantilal Patel, whole-time director, for the term September 22, 2025, to September 21, 2027. The 17th AGM is scheduled for September 30, 2025, with book closure dates from September 22-25, 2025.
