Modi Naturals announces AGM details, director re-appointments, and auditor remuneration

Modi Naturals Limited will hold its 51st annual general meeting (AGM) on Tuesday, September 30, 2025, at 2:30 p.m. via video conferencing or other audio-visual means. The company has set Tuesday, September 23, 2025, as the cut-off date for determining member eligibility to vote. The remote e-voting period will commence on Saturday, September 27, 2025, at 9:00 a.m. (IST) and conclude on Monday, September 29, 2025, at 5:00 p.m. (IST). The share transfer register and member register will be closed from Friday, September 26, 2025, to Tuesday, September 30, 2025, inclusive.

The AGM agenda includes the re-appointment of Mr. Anil Modi as chairman & managing director, Mr. Akshay Modi as joint managing director, and Mrs. Aditi Gupta as whole-time director, each for a three-year term. Mr. Anil Modi's proposed salary is ₹6,00,000 per month from January 1, 2026. Mr. Akshay Modi's proposed salary is ₹6,00,000 per month from December 15, 2025, and Mrs. Aditi Gupta's proposed salary is ₹2,00,000 per month from August 13, 2025. All re-appointments include commission up to 3% of net profit and other perquisites.

Additionally, the company seeks shareholder ratification for the remuneration of cost auditors, M/s. Manisha & Associates, set at ₹70,000 plus Goods and Service Tax for the financial year 2025-26. M/s. Deepak Bansal & Associates are proposed for appointment as secretarial auditors for a five-year term, with a remuneration of ₹2,00,000 for the financial year 2025-26.
