Ashok Leyland proposes two new independent directors

Ashok Leyland Limited, a prominent manufacturer, announced a postal ballot notice on September 5, 2025, to obtain shareholder approval for two new non-executive independent directors. Geeta Mathur is proposed for a five-year term starting August 25, 2025, and Sridharan Kesavan for a three-year term, also effective from August 25, 2025. Both individuals meet the independence criteria specified under the Companies Act, 2013, and SEBI Listing Regulations.

Mathur, a chartered accountant, currently serves on the boards of several companies, including JSW One Platforms Limited and Dixon Technologies (India) Limited. She was previously a chief financial officer at Helpage India. Kesavan, a chartered accountant, was formerly the chief financial officer of Ashok Leyland Ltd. for nearly 32 years and is currently an independent director of Hinduja Tech Limited.

The e-voting period for these resolutions will commence on Saturday, September 6, 2025, at 9:00 AM and conclude on Sunday, October 5, 2025, at 5:00 PM. The voting rights are determined by the shares held as of the cut-off date, Friday, August 29, 2025. The results are expected to be announced on or before Tuesday, October 7, 2025.
