KDDL promoter group restructures shareholdings through inter-se transfers

Pranav Shankar Saboo, a promoter of KDDL Limited, received 400,000 equity shares (3.25% of diluted share capital) via a gift from Mrs. Anuradha Saboo, another promoter, through an off-market inter-se transfer on August 29, 2025. This acquisition, disclosed under Regulation 10(6) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, involved no consideration. Before this transfer, Mrs. Anuradha Saboo held 12,61,368 shares (10.26%), while Pranav Shankar Saboo had no direct holding. Post-transaction, Pranav Shankar Saboo's direct holding stands at 400,000 shares (3.25%), and Mrs. Anuradha Saboo's holding is 861,368 shares (7.00%).

Additionally, Mrs. Anuradha Saboo, as a member of the promoter group, disclosed further share movements under Regulations 29(1) and 29(2) of the SAST Regulations. Besides the gift to Pranav Shankar Saboo, 77,820 equity shares (0.63%) were transferred through off-market inter-se transfer to members/beneficiaries of Tara Chand Mahendra Kumar HUF following its partition on March 27, 2025.

In total, Mrs. Anuradha Saboo disposed of 477,820 shares, while Pranav Shankar Saboo acquired 400,000 shares. Other acquisitions include 25,940 shares each for Yashovardhan Saboo, Jai Vardhan Saboo, and Veena Kanoria. The total equity share capital of KDDL Limited before and after these transactions remains 12,299,280 equity shares.
