U.P. Hotels announces AGM, book closure, and executive pay revisions

U.P. Hotels Limited will hold its 64th annual general meeting (AGM) on Tuesday, September 30, 2025, at 2:30 p.m. via video conferencing or other audio-visual means. The company has set Tuesday, September 23, 2025, as the cut-off date for determining eligible members for remote e-voting, with the e-voting period running from Saturday, September 27, 2025, to Monday, September 29, 2025. The register of members and share transfer books will be closed from September 23 to September 30, 2025, for the purpose of the AGM.

The company also announced proposed revisions to the remuneration of joint managing directors and chief financial officers, Mr. Apurv Kumar and Mr. Rupak Gupta. Both are slated to receive an annual salary of INR 12,50,000 per month, effective April 1, 2025, to May 14, 2027. Their annual remuneration will not exceed INR 2,40,00,000, inclusive of allowances, perquisites, and provident fund contributions, regardless of the company's profit or loss. Additionally, Deepak Bansal & Associates has been appointed as secretarial auditors for five consecutive years from FY 2025-26 to FY 2029-30, at a proposed remuneration of INR 1,30,000 per annum plus applicable taxes.
