SBICAP trustee's HDFC Bank pledged shares double after bonus issue

SBICAP Trustee Company Limited (STCL) announced on September 1, 2025, an increase in its holding of encumbered shares in HDFC Bank Limited. This disclosure, made under Regulation 29(2) of SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, follows the pledge of bonus shares issued by HDFC Bank.

Before the acquisition, STCL held 126,178 encumbered shares, representing 0.0008% of HDFC Bank's total share capital. Following the pledge of bonus shares on August 29, 2025, STCL's encumbered holding doubled to 252,356 shares, now constituting 0.0016% of the total share capital. The bonus shares were allotted on August 28, 2025, in a 1:1 ratio.

STCL clarified its role as a security trustee, holding these shares as collateral for M/s. Sky Gold Ltd ("Borrower") and not as a direct lender or borrower.
