One 97 Communications shareholders approve all resolutions at 25th AGM

One 97 Communications Limited announced that all seven resolutions proposed at its 25th Annual General Meeting (AGM) on August 29, 2025, were successfully passed by shareholders. This included the adoption of the audited standalone and consolidated financial statements for the fiscal year ended March 31, 2025, which passed with 100% of votes in favor. Shareholders also approved the resolution not to fill the vacancy caused by the retirement of Mr. Madhur Deora as executive director, president, and group chief financial officer, with 100% in favor. Mr. Deora ceased to be a director and executive director effective August 29, 2025, but will continue in his full-time role as president and group chief financial officer.

Key appointments and remunerations were also approved. The payment of remuneration to Mr. Vijay Shekhar Sharma, managing director and chief executive officer, was approved with 94.40% of votes in favor. The appointment of Ms. Urvashi Sahai as whole-time director, designated as "executive director and general counsel," received 95.00% approval, with her remuneration also approved by 98.59% of votes.

Additionally, the appointment of M/s Chandrasekaran Associates as secretarial auditors for the company passed with 99.94% approval. A resolution for contributions to charitable and other funds was also approved, receiving 83.02% of votes in favor.
