Liberty Shoes to hold 39th annual general meeting, propose executive pay hike

Liberty Shoes Limited will convene its 39th Annual General Meeting (AGM) on Wednesday, September 24, 2025, at 11:00 A.M. (IST) via Video Conferencing/Other Audio Video Means. The company will seek approval for its Audited Financial Statements for the fiscal year ended March 31, 2025.

Key proposals for shareholder approval include the re-appointment of directors Adish Gupta and Ashok Kumar, who are retiring by rotation. Additionally, special resolutions will be presented to increase the remuneration of executive directors Shammi Bansal, Adish Gupta, and Anupam Bansal, from existing ₹4,00,000 per month to ₹10,00,000 per month, effective October 1, 2025. The appointment of JVS & Associates as secretarial auditors for a five-year term from FY 2025-26 to FY 2029-30 is also on the agenda.

The remote e-voting period for eligible members will open on Sunday, September 21, 2025 (9:00 A.M. IST) and conclude on Tuesday, September 23, 2025 (5:00 P.M. IST). The Register of Members and Share Transfer Books will be closed from Thursday, September 18, 2025, to Wednesday, September 24, 2025, for the purpose of the AGM.
