Gujarat Ambuja Exports amends articles for energy projects expansion

Gujarat Ambuja Exports Limited (GAEL) shareholders, at their annual general meeting on August 30, 2025, approved a special resolution to amend the company's Articles of Association. These changes address recent requirements from various State Electricity Regulatory Commissions, enabling the company to maintain its status as a captive user and expand its operations in the energy sector.

The amendments involve inserting new sub-clauses ("r") and ("s") after sub-clause ("q") in clause 2, and adding sub-clause (24) to Article 159. These additions explicitly define "Power Purchase Agreement and/or Power Purchase Agreement and Wheeling Agreement" and "Project/s" to include various power generation projects, such as solar, solar-wind hybrid, hydrogenation, and other renewable or conventional sources for captive consumption or third-party sale.

The approved changes empower GAEL to install, operate, and maintain diverse power plant projects and enter into necessary agreements for electricity supply to captive users, third-party consumers, or Distribution Companies (DISCOMs). The company utilized a remote e-voting facility for members from August 27 to August 29, 2025, and also provided e-voting at the AGM via VC/OAVM.
