Happiest Minds gets tribunal approval to waive PureSoftware merger meetings

Happiest Minds Technologies Limited has published a newspaper notice regarding the dispensation of meetings for its Composite Scheme of Arrangement with PureSoftware Technologies Private Limited. This follows a National Company Law Tribunal order dated August 8, 2025.

The scheme, filed under Sections 230 to 232 of the Companies Act, 2013, involves the merger of PureSoftware, a wholly-owned subsidiary, with Happiest Minds. The National Company Law Tribunal, Bengaluru Bench, granted permission for the dispensation of meetings for equity shareholders, preference shareholders, and unsecured trade creditors of PureSoftware, as well as equity shareholders, secured creditors, and unsecured creditors of Happiest Minds.

The company enclosed e-clips of advertisements published on August 29, 2025, in The Hindu (English) and Udayavani (Regional) newspapers, confirming the public notification of this development.
