Emami reappoints key directors and secretarial auditors

Emami Limited announced the re-appointment of Mohan Goenka as vice-chairman and whole-time director and Sushil Kumar Goenka as whole-time director, each for a further period of five years. Mohan Goenka’s re-appointment is effective from January 15, 2026, and Sushil Kumar Goenka’s from April 1, 2026, both upon completion of their existing terms. Additionally, R. S. Agarwal was re-appointed as a director. These re-appointments were approved by shareholders at the 42nd Annual General Meeting (AGM) held on August 29, 2025.

The company also approved the appointment of M/s. MKB & Associates as the secretarial auditors for a term of five consecutive years, commencing from financial year 2025-26 until financial year 2029-30. The remuneration payable to M/s. V. K. Jain & Co, cost accountants, for the financial year 2025-26 was also ratified. All resolutions proposed at the AGM were duly passed by the members, including the payment of three interim dividends aggregating to Rs. 10 per equity share declared for the financial year 2024-25.

The AGM proceedings and voting results were scrutinized by Raj Kumar Banthia, partner of M/s. MKB & Associates, who confirmed that 769 members cast their votes. The total number of shareholders on the record date of August 22, 2025, was 126,864. The meeting concluded on August 29, 2025.
