Astec LifeSciences announces director resignation, new appointment

Astec LifeSciences Limited reported changes to its board of directors, effective August 29, 2025. Balram Singh Yadav has resigned as a non-executive director, effective from the close of business hours on August 31, 2025. His resignation is attributed to superannuation from his employment with Godrej Agrovet Limited (holding company), with no other material reasons cited.

Concurrently, the board, acting on the nomination and remuneration committee's recommendation, approved the appointment of Sunil Kataria (DIN: 06863609) as an "additional, non-executive, non-independent director." This appointment is effective from September 1, 2025. Kataria currently serves as the chief executive officer & managing director designate of Godrej Agrovet Limited (holding company) and brings over thirty years of experience across various sectors.

The company confirmed that Kataria is not related to the promoters or the promoter group and is not debarred from holding a director's office by any SEBI order. Following these changes, Astec LifeSciences ensures that not less than 50% of its board directors will continue to be independent directors.
