Samvardhana Motherson International holds 38th AGM, approves dividend and key resolutions

Samvardhana Motherson International Limited held its 38th Annual General Meeting (AGM) on August 28, 2025, via video conferencing. The meeting confirmed the adoption of audited standalone and consolidated financial statements for the year ended March 31, 2025. Shareholders also approved a final dividend of INR 0.35 per equity share for the financial year 2024-25.

Key resolutions passed included the re-appointment of Pankaj Mital and the approval for the appointment of secretarial auditors for the company. The ratification of remuneration for cost auditors for the financial year 2025-26 was also approved.

Further resolutions covered the approval of material related-party transactions with Motherson Sumi Wiring India Limited, and the ability to give loans or guarantees up to an additional INR 3,000 Million under Section 186 of the Companies Act, 2013. Additionally, the issue of Parent Corporate Guarantee for CIM Tools Private Limited was approved.
