NMDC holds 67th AGM, approves financials, dividend, and new directors

NMDC Limited held its 67th annual general meeting (AGM) on Thursday, August 28, 2025, concluding at 1:16 PM IST. The meeting, conducted virtually, saw the approval of the audited standalone and consolidated financial statements for the fiscal year ended March 31, 2025. Shareholders also ratified the payment of an interim dividend of ₹2.30 per equity share (already paid) and approved a final dividend of ₹1.00 per equity share for the same financial year.

Key appointments were made, including the re-appointment of Vishwanath Suresh and Vinay Kumar as directors by rotation. Additionally, Priyadarshini Gaddam was appointed as director (personnel), and Amitava Mukherjee as chairman & managing director. Several non-official independent directors, including Sanjay Tandon, Mahendra Singh Rao, Bharat Baburao Patil, and Achal Kumar Sinha, were re-appointed. Ashish Chatterjee was also appointed as a government director.

The AGM also authorized the board of directors to fix the remuneration of statutory auditors for the financial year 2025-26 and ratified the remuneration of cost auditors for the same period. The appointment of the secretarial auditor for the company was also approved. The total number of shareholders on the record date (August 21, 2025) was 1,174,568, with 123 members present through video conferencing.
