Kirloskar Ferrous subsidiary ISMT Enterprises SA liquidated

Kirloskar Ferrous Industries Limited (KFIL) informed the BSE that the liquidation proceedings for its subsidiary, ISMT Enterprises SA, were concluded on August 27, 2025, following a shareholder decision. KFIL is currently awaiting a Certificate of Deregistration from the Luxembourg Trade Registry to formally confirm the liquidation. This update follows a previous communication dated August 8, 2024.

According to an annexure, ISMT Enterprises SA reported a total income of ₹2.88 Crores and a profit after taxation of ₹2.50 Crores for the financial year 2024-2025. However, the subsidiary had a negative net worth as of March 31, 2025.

The announcement clarified that there was no agreement for sale, expected completion date, or consideration received, as the liquidation was a voluntary process rather than a sale or disposal of the undertaking. Details regarding buyers or related party transactions were marked as "Not applicable."
