IndoStar Capital announces board reshuffle, appoints Vishal Goenka as director

IndoStar Capital Finance Limited announced the resignation of Dhanpal Jhaveri and the appointment of Vishal Goenka as non-executive non-independent directors, effective August 28, 2025. This change stems from a nomination shift by Indostar Capital, the company's promoter, in line with a shareholders agreement dated January 31, 2020. The board of directors approved these changes via a circular resolution on August 28, 2025, following a recommendation from the nomination and remuneration committee.

Vishal Goenka will serve as an additional director until the company's 16th annual general meeting. Goenka is a managing director at Everstone Capital, specializing in investments within industrial and financial services. He brings over 15 years of experience in investing and banking, having previously worked with Warburg Pincus and J.P. Morgan.

Dhanpal Jhaveri tendered his resignation from the directorship, including all committee memberships, effective August 28, 2025. His resignation is simultaneous with Goenka's appointment. IndoStar Capital Finance confirmed that Goenka is not debarred from holding a directorship by any regulatory authority.
