SG Mart to reprice stock options, strengthen board ahead of AGM

SG Mart Limited (formerly Kintech Renewables Limited) has filed its Business Responsibility and Sustainability Report (BRSR) for FY 2024-25, highlighting its commitment to ESG outcomes, sustainable sourcing, and responsible waste management. The company, a B2B marketplace for building materials, emphasized an 85% sustainable sourcing rate for input materials from SA 8000 and ISO 45001 certified vendors. SG Mart will present its BRSR, which will also form part of its annual report, at the upcoming 40th annual general meeting (AGM) on Saturday, September 20, 2025.

In parallel, SG Mart announced key corporate actions to be approved at the 40th AGM. These include the re-appointment of Amit Thakur as director and the appointment of Arun Agarwal as a non-executive director to enhance board composition. Additionally, the company plans to approve the repricing of employee stock options granted under the "Kintech Renewables Limited Employees Stock Option Scheme – 2023" to a new exercise price of INR 367.85 from INR 467.40, making them more attractive due to sustained market price falls.

Further resolutions for the AGM include the approval of the "SG Mart Employees Stock Option Plan 2025" and authorization for the SG Mart Limited Employees Welfare Trust to undertake secondary acquisition of equity shares, with a proposed loan from the company not exceeding 5% of its aggregate paid-up share capital and free reserves for this purpose. M/s Parikh & Associates, company secretaries, will also be appointed as secretarial auditors for a five-year term, with remuneration of INR 1 lakhs p.a.
