Sayaji Hotels plans borrowing hike, director re-appointments ahead of AGM

Sayaji Hotels Limited will hold its 42nd Annual General Meeting on Friday, September 19, 2025, at 11:30 AM IST via video conference. A key proposal on the agenda is to increase the company's maximum borrowing limit under Section 180(1)(c) of the Companies Act, 2013, to not exceed INR 200 Crores for the financial year 2025-26. This move aims to support existing and future financial requirements.

The company will also seek approval to provide financial assistance, including loans, guarantees, or security, up to INR 50 Crores to any body corporate where directors are interested, to be utilized for their principal business activities. Furthermore, shareholders will vote on the re-appointment of M/s NPG & Co. as secretarial auditors for five consecutive years, from the 42nd to the 47th AGM.

Other significant items include the re-appointment of Mrs. Suchitra Dhanani as whole-time director for another three-year term, with an annual salary of INR 3,48,749 per month, and Mrs. Isha Garg as a non-executive woman independent director for a second five-year term.
