Gujarat Industries Power Co. to hold 40th AGM, discuss dividend, appointments

Gujarat Industries Power Company Ltd. (GIPCL) has announced its 40th Annual General Meeting (AGM) to be held on Saturday, September 20, 2025, at 1:00 p.m. through video conferencing. The company will conduct a book closure from September 13, 2025, to September 20, 2025, to determine eligibility for a dividend of INR 4.09 per share for the fiscal year 2024-25, pending shareholder approval.

The AGM agenda includes the adoption of financial statements for the year ended March 31, 2025, and the re-appointment of directors Jai Prakash Shivahare, IAS, and Kanyo Sadhuram Badlani. Additionally, the appointment of Dr. Jayanti S. Ravi, IAS, as an additional chief secretary (revenue) nominee director, will be proposed.

Shareholders will also vote on the appointment of M/s. KC Mehta & Co. LLP as statutory auditors for five years, with remuneration to be determined by the board. The appointment of M/s. TNT & Associates as secretarial auditors for FY 2025-26 to FY 2029-30 will also be considered. Remote e-voting will commence on September 17, 2025, at 9:00 a.m. (IST) and conclude on September 19, 2025, at 5:00 p.m. (IST), with the cut-off date for e-voting being September 12, 2025.
