Chambal fertilisers approves dividend, reappoints key directors at AGM

Chambal Fertilisers and Chemicals Limited held its fortieth annual general meeting (AGM) on Tuesday, August 26, 2025, via video conferencing. Key resolutions passed included the adoption of the audited financial statements for the year ended March 31, 2025, both standalone and consolidated. Shareholders also approved a final dividend of Rs. 5.00 per equity share of Rs. 10 each, representing 50% for the financial year ended March 31, 2025.

Additionally, the AGM saw the re-appointment of Shyam Sunder Bhartia as a director, who retired by rotation. Abhay Baijal was re-appointed as managing director for a three-year term from July 21, 2025, to July 20, 2028. Rita Menon was re-appointed as an independent director for a second five-year term, from September 10, 2025, to September 09, 2030, and Dr. Rakesh Jain was appointed as an independent director for a five-year term, from July 15, 2025, to July 14, 2030.

The meeting also ratified the remuneration payable to K.G. Goyal & Associates as cost accountants for the financial year ending March 31, 2026, and approved the appointment of RMG and Associates as secretarial auditor for a five-year term. All resolutions were declared passed with the requisite majority, concluding the AGM at 11:41 A.M. IST.
