Veranda Learning to demerge commerce test prep business

Veranda Learning Solutions Limited announced plans to demerge its Commerce Test Prep business into a separate listed company, JK Shah Commerce Education Limited. Existing shareholders will receive proportional shares in the new entity.

The company estimates a composite share price of INR 294 for the combined entity in FY26, compared to the current market price of INR 225. The Commerce segment projects INR 344 crore revenue and INR 136 crore EBITDA for FY26.

The demerger and listing process is expected to take approximately 12 months.
