Sona Comstar reconstitutes board, appoints new chairperson after Kapur's passing

Sona Comstar (BSE: SONACOMS) has announced a series of board-level changes following the passing of its Chairman, Sunjay Kapur, who has been designated 'Chairman Emeritus' in recognition of his contributions. Jeffrey Mark Overly, an Independent Director since February 2021, has been appointed as the new Chairperson of the Board, effective June 23, 2025, for a second term lasting until February 11, 2031, subject to shareholder approval. Additionally, Priya Sachdev Kapur has been appointed as an Additional Non-Executive Director, also effective June 23, 2025, pending shareholder approval. Concurrently, the board has reconstituted its committees, including Corporate Social Responsibility, CAPEX, and Environment, Social and Governance, to reflect the new leadership. The company also announced an amendment to the Memorandum of Association, pending shareholder approval, to widen the scope of its objectives as a global mobility technology company. Separately, Sona Comstar's Nomination and Remuneration Committee approved the allotment of 3,000 equity shares under its Employee Stock Option Plan (ESOP) 2023, increasing the issued and paid-up equity share capital from INR 6,217,179,750 to INR 6,217,209,750.
