Bharat Forge restructures defence business, acquires AAM India

Bharat Forge [BSE: 500493] announced key strategic decisions following a board meeting on June 30, 2025, including the internal restructuring of its defense business and acquisition of AAM India Manufacturing Corporation Private Limited (AAM India). The company will transfer its defense business to Kalyani Strategic Systems Limited (KSSL), a wholly-owned subsidiary, through an itemized sale valued by an independent valuer. The consideration will be discharged via Optionally Convertible Redeemable Preference Shares (OCRPs) issued by KSSL not exceeding INR 5,000 Million. Further, Bharat Forge approved a deal consideration of INR 7,700 Million for acquiring 100% of equity shares of AAM India, subject to final adjustments. The AAM India acquisition, is expected to close on July 1, 2025.
