UGRO Capital to acquire Profectus Capital in INR 1,400 cr deal

UGRO Capital (BSE: 511742) announced its acquisition of Profectus Capital Private Limited in a ₹1,400 Cr all-cash deal, effective June 17, 2025. The acquisition, approved by UGRO Capital's Board of Directors, is structured as a purchase of 100% of Profectus Capital's shares. UGRO Capital will fund the acquisition via existing preferential issuance of compulsory convertible debentures and internal accruals of INR 450 Crores to cover the remainder.
